The deal ranks as the second largest exit for an ecommerce founder in India after Flipkart founders Sachin Bansal and Binny Bansal sold their stakes to Walmart.
In an exchange filing on Saturday, Titan said that it was acquiring 91.90 lakh equity shares in CaratLane, following which it will hold 98.28% stake in the company.

ET had reported in June that the two parties had hit a deadlock over the valuation of Sacheti’s stake in the company. With the stalemate persisting after talks ended inconclusively, the issue was even said to have reached the offices of Tata Sons chairman N Chandrasekaran.

The transaction will be subject to completion of customary regulatory approvals and closing conditions and is expected to be financed through a combination of cash balances, internal accruals and debt, Titan said in the exchange filing.In FY23, CaratLane crossed the Rs 2,000-crore topline mark recording a turnover of Rs 2,177 crore, a 72% jump from Rs 1,267 crore it clocked in FY22. In FY21, CaratLane recorded revenues of Rs 723 crore.
The company has been reporting a positive profit before tax number for the last three years, growing at 55% compound annual growth rate (CAGR) over a five-year period.
In the June quarter of FY24, CaratLane saw a 32.4% year on year jump in its revenues to Rs 640 crore with earnings before interest and taxes (EBIT) standing at Rs 35 crore – an EBIT margin of 5.5%. The company saw 11 new store additions in the quarter taking the total store count to 233 stores spread across 93 cities in India.
CaratLane had been in a strategic vendor relationship with Tanishq, Titan’s jewellery brand, since 2010. Between 2016 and 2019, Titan bought shares of the omnichannel retailer in tranches, spending a total of around Rs 440-450 crore, mainly via a secondary purchase of shares from Tiger Global, an early stage backer of CaratLane. Titan also made a primary infusion of Rs 99 crore in the company back in 2019.
